These Terms of Use (“Terms”) govern your access to and use of the NIKEL website at nikeltoken.com and the NIKEL investor portal (collectively, the “Platform”), operated by Nikel Token Company Ltd (“NIKEL”, “we”, “us”, or “our”). By accessing or using the Platform, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age and legally capable of entering into binding agreements to use the Platform. Access to certain features of the Platform may also be subject to identity verification, compliance checks, and eligibility requirements under applicable laws and regulations. By registering an account, you represent that you meet these requirements and that all information you provide is accurate, current, and complete.

2. Regulatory Restrictions

Access to certain features of the Platform, including any token-related functionality, may be restricted based on the user’s jurisdiction, regulatory status, or eligibility requirements. NIKEL reserves the right to limit or deny access where required by applicable laws or regulatory obligations.

3. Account Registration and Security

  • Accounts on the NIKEL platform are created by invitation only following a qualified Expression of Interest (EOI) process. There is no public self-registration.
  • You are responsible for maintaining the confidentiality of your login credentials and multi-factor authentication (MFA) devices.
  • You must immediately notify us of any unauthorised access to your account.
  • Accounts are personal to the registered user and may not be transferred, assigned, or shared with any other person.
  • NIKEL reserves the right to suspend or terminate accounts that are inactive, compromised, or in violation of these Terms.

4. Platform Use

The Platform provides access to information about the NKL1 token, portfolio tracking, transaction management, and investor communications. You agree to use the Platform only for its intended purposes and not to:

  • Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems.
  • Use the Platform for any unlawful purpose or in violation of applicable laws and regulations.
  • Introduce viruses, malware, or other harmful code.
  • Engage in any activity that interferes with or disrupts the Platform’s operation.
  • Scrape, crawl, or otherwise extract data from the Platform by automated means without our prior written consent.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code or underlying technology of the Platform.

5. Token Transactions

All token purchase and sale requests submitted through the Platform, when these functionalities are made available, are subject to administrative review and approval. Any price displayed at the time of a transaction request may be subject to confirmation and administrative approval. NIKEL reserves the right to approve, decline, or delay any transaction at its sole discretion.

Transaction limits (maximum purchase cap and maximum sell percentage) are set by platform administrators and may change without prior notice. You are responsible for understanding the applicable limits before submitting a transaction request.

6. No Investment Advice

Nothing on the Platform constitutes investment, financial, legal, or tax advice. The information provided is for general informational purposes only. You should seek independent professional advice before making any investment decisions. Please refer to our Risk Disclaimer for important information about the risks associated with digital assets.

7. Intellectual Property

All content, design, logos, trademarks, and intellectual property on the Platform are owned by or licensed to Nikel Token Company Ltd. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable laws:

  • The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied.
  • NIKEL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • NIKEL’s total liability to you for any claims arising from these Terms shall not exceed the total fees paid by you to NIKEL in the 12 months preceding the claim.

NIKEL does not guarantee that the Platform will be uninterrupted, continuously available, or error-free.

9. Indemnification

You agree to indemnify and hold harmless Nikel Token Company Ltd, its directors, officers, employees, and agents from any claims, damages, losses, or expenses, including reasonable legal fees and costs, arising from your use of the Platform or violation of these Terms.

10. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts.
